Terms of Service

1. Acceptance of Terms

By downloading, installing, or using the Trace mobile application or visiting trace.xyz (collectively, the “Service”), you agree to be bound by these Terms of Service (“Terms”). The Service is provided by TKM Ventures (“we,” “our,” or “us”). If you do not agree to these Terms, do not use the Service.

2. Eligibility

You must be at least 13 years old to use the Service. By using the Service, you represent that you meet this age requirement. If you are under 18, you represent that your parent or legal guardian has reviewed and agreed to these Terms.

3. Account Registration

  • You must provide a valid phone number to create an account.
  • You are responsible for maintaining the security of your account.
  • You must provide accurate and truthful vehicle information.
  • You may not create multiple accounts or use another person's account.
  • We reserve the right to suspend or terminate accounts that violate these Terms.

4. Trace Tags

Trace Tags are unique QR codes assigned to vehicles registered on the Service. By using Trace Tags:

  • You agree that anyone who scans your Trace Tag can send you a message through the Service.
  • You are responsible for where you display your Trace Tag.
  • You may not use Trace Tags for fraudulent, deceptive, or illegal purposes.
  • You may not create counterfeit Trace Tags or tamper with another user's tag.

5. Messaging Conduct

When using the messaging feature, you agree not to:

  • Send threatening, harassing, abusive, or hateful messages
  • Send spam, unsolicited advertising, or promotional content
  • Attempt to obtain personal information (phone numbers, addresses, etc.) from other users
  • Impersonate another person or misrepresent your identity
  • Send content that is illegal, obscene, or violates any applicable law
  • Use the messaging system for any commercial solicitation

We reserve the right to monitor messages for compliance, filter content that violates these rules, and suspend accounts that engage in prohibited conduct. Users can block and report other users at any time.

6. Trace Locate

Trace Locate uses your device's motion sensors and GPS to detect when you park and save your location. By using Trace Locate:

  • You acknowledge that location accuracy depends on GPS signal quality and device capabilities.
  • You understand that Trace Locate is a convenience tool and should not be relied upon as the sole method of locating your vehicle.
  • You grant the app permission to access location and motion data as described in our Privacy Policy.
  • You acknowledge that Trace Locate requires an active Trace+ subscription or free trial to use.

7. Subscriptions and Payments

7.1 Free Tier

The free tier includes: 1 vehicle, 10 messages per month, Trace Tag QR codes, and a 3-day Trace Locate trial for new users.

7.2 Trace+ Subscription

Trace+ is a monthly auto-renewable subscription that provides unlimited vehicles, unlimited messages, Trace Locate, smart maintenance reminders, and priority support.

  • Payment is charged to your Apple ID account at confirmation of purchase.
  • Subscription automatically renews unless canceled at least 24 hours before the end of the current billing period.
  • You can manage or cancel your subscription in your Apple ID account settings.
  • No refunds are provided for partial billing periods.
  • Pricing may change with notice. Continued use after a price change constitutes acceptance.

7.3 Free Trial

New users receive a 3-day free trial of Trace Locate. The trial begins at account creation and expires automatically. No payment is required for the trial. After the trial, Trace Locate requires an active Trace+ subscription.

8. Vehicle Information

  • You must only register vehicles that you own or are authorized to register.
  • You are responsible for the accuracy of the vehicle information you provide.
  • We are not responsible for disputes arising from incorrectly registered vehicles.
  • License plate information is displayed to other users who view your vehicle profile.

9. Intellectual Property

The Service, including its design, features, code, content, trademarks (“Trace,” “Trace Locate,” “Trace Tags,” “Trace+”), and all associated intellectual property, is owned by TKM Ventures. You may not copy, modify, distribute, sell, or lease any part of the Service without our written permission.

10. User-Generated Content

You retain ownership of content you create (messages, vehicle photos, bios). By posting content on the Service, you grant us a non-exclusive, worldwide, royalty-free license to use, display, and distribute that content in connection with operating the Service.

11. Disclaimer of Warranties

THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE. WE MAKE NO WARRANTY REGARDING THE ACCURACY OF LOCATION DATA, PARKING DETECTION, OR ANY OTHER FEATURE.

12. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, TKM VENTURES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF DATA, REVENUE, OR PROFITS, ARISING FROM YOUR USE OF THE SERVICE. OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

13. Indemnification

You agree to indemnify and hold harmless TKM Ventures from any claims, damages, losses, or expenses arising from your use of the Service, your violation of these Terms, or your infringement of any third party's rights.

14. Termination

We may suspend or terminate your access to the Service at any time, for any reason, including violation of these Terms. Upon termination, your right to use the Service ceases immediately. Provisions that by their nature should survive termination (including disclaimers, limitations of liability, and indemnification) will survive.

15. Governing Law

These Terms are governed by the laws of the State of California, without regard to conflict of law principles. Any disputes arising from these Terms or the Service shall be resolved in the courts of Santa Cruz County, California.

16. Changes to Terms

We may modify these Terms at any time. Material changes will be communicated through the app or website. Your continued use of the Service after changes are posted constitutes acceptance of the updated Terms.
